1. Introduction and Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the Intentarray website, software platform, and related services (collectively, the "Services").
Intentarray ("Intentarray," "we," "our," or "us") refers to the service offered through https://intentarray.com and its operator.
By registering for an account, accessing the Services, or otherwise using the platform, you agree to be bound by these Terms and acknowledge our Privacy Policy.
If you do not agree to these Terms, you must not access or use the Services.
If you access or use Intentarray on behalf of a company or other organization, you represent that you have the authority to accept these Terms on its behalf. In that case, "you" and "your" refer to that organization and its authorized users, as applicable.
These Terms apply to free, trial, and paid access to the Services. Additional written agreements, where applicable, may supplement these Terms. If a separately executed agreement expressly governs a particular service or subscription, that agreement will prevail to the extent of any conflict.
2. Description of Services
Intentarray is a B2B sales intelligence platform that provides professional and company-related information, business intelligence, AI-assisted analysis, and related tools to help customers identify and evaluate potential commercial opportunities.
The Services may include business information discovery, professional information enrichment, opportunity evaluation, sales research, and AI-assisted recommendations or outreach content.
The availability of particular features, data, integrations, and functionality may vary depending on the selected plan, account permissions, technical requirements, and service availability.
Intentarray may develop, modify, improve, introduce, or discontinue features as part of the normal operation of the Services.
We do not guarantee that any particular information source, feature, integration, or functionality will remain available indefinitely. Material changes affecting paid services will be handled in accordance with applicable law and the relevant subscription terms.
The Services are intended to assist users with professional research and business decisions. Intentarray does not guarantee sales results, customer acquisition, revenue growth, or any particular commercial outcome.
3. Eligibility and Account Registration
You must be legally capable of entering into a binding agreement and must be at least 18 years old to create an account or use the Services.
You agree to provide accurate and reasonably current information when registering and maintaining your account.
You are responsible for:
- Maintaining the confidentiality of your account credentials.
- Ensuring that access to your account is limited to authorized individuals.
- Activity conducted through your account by authorized users.
- Keeping relevant account and contact information reasonably up to date.
- Promptly notifying Intentarray if you become aware of unauthorized access or a security issue affecting your account.
You must not create accounts using false identities, impersonate another person or organization, or use unauthorized automated methods to register accounts.
Where team or workspace functionality is available, the customer is responsible for managing its authorized users and their permissions.
Intentarray may require additional verification or restrict access when reasonably necessary to protect the Services, investigate misuse, or comply with legal requirements.
4. License and Permitted Use
Subject to your compliance with these Terms and any applicable subscription conditions, Intentarray grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and use the Services during your authorized access period.
The Services are made available for lawful internal business purposes, including professional research, sales planning, lead evaluation, and related commercial activities.
You may use information and outputs made available through the Services for permitted business purposes, including contacting relevant business professionals, subject to applicable law, third-party rights, and any disclosed usage restrictions.
The right to access the Services does not transfer ownership of the platform, its underlying technology, proprietary systems, or intellectual property.
Except where expressly permitted by applicable law or authorized by Intentarray, you may not:
- Copy, reproduce, distribute, sublicense, or commercially exploit the platform itself.
- Reverse engineer, decompile, or attempt to derive proprietary source code.
- Access non-public systems, databases, or interfaces without authorization.
- Circumvent technical restrictions, usage limits, or security controls.
- Systematically extract or reproduce substantial portions of the Services to establish a competing database or service.
- Resell, redistribute, or provide third parties with standalone commercial access to data obtained through the Services, except where expressly permitted.
- Misrepresent an affiliation, partnership, or endorsement involving Intentarray.
Nothing in these Terms restricts rights that cannot lawfully be excluded.
5. Acceptable Use
You agree to use Intentarray responsibly and in accordance with applicable laws and regulations.
You must not use the Services to:
- Engage in unlawful, fraudulent, deceptive, or misleading activities.
- Harass, threaten, discriminate against, or unlawfully target individuals.
- Send unlawful unsolicited communications or engage in abusive messaging practices.
- Violate applicable privacy, data protection, consumer protection, or electronic communications laws.
- Infringe intellectual property, confidentiality, privacy, or other rights belonging to third parties.
- Introduce malicious code or attempt to compromise the security or availability of the Services.
- Gain unauthorized access to another user's account, workspace, or information.
- Circumvent subscription limits, technical safeguards, or access restrictions.
- Conduct automated extraction, excessive querying, or other activities that materially disrupt the Services without authorization.
- Use information obtained through the Services for unlawful surveillance, discriminatory profiling, impersonation, or other prohibited purposes.
Customers are responsible for ensuring that their use of professional contact information and their outreach activities comply with applicable laws and any relevant restrictions.
Intentarray may investigate suspected violations and take proportionate measures, including restricting functionality, suspending access, or terminating an account, where reasonably necessary.
We may also cooperate with lawful regulatory or legal requests as required or permitted by law.
6. Business Information and Third-Party Data
Intentarray may provide information obtained or derived from publicly accessible sources, customer-provided information, professional information providers, and other third-party resources.
Such information may include company-related developments, publicly available professional details, and business intelligence relevant to the Services.
Although we seek to provide useful information, third-party data may be incomplete, outdated, inaccurate, unavailable, or subject to restrictions imposed by its original source.
Intentarray does not independently guarantee the accuracy, completeness, availability, or continuing validity of every item of third-party information.
Customers are responsible for exercising reasonable professional judgment when relying on information provided through the Services.
Where appropriate, customers should verify material information before using it for important commercial decisions or external communications.
Access to information through Intentarray does not grant customers ownership of third-party intellectual property or override applicable legal restrictions.
Intentarray remains responsible for its own processing activities as required by applicable law. Customers remain responsible for their independent use of information obtained through the Services.
7. Artificial Intelligence and Generated Content
Intentarray uses artificial intelligence and automated processing technologies to support certain features of the Services.
These technologies may generate business insights, analyses, classifications, recommendations, and suggested communication content based on available information and customer-provided context.
You acknowledge that:
- AI-generated information may contain inaccuracies, omissions, or outdated conclusions.
- AI-generated recommendations are informational and do not constitute guaranteed predictions.
- Outputs may require independent verification before use.
- Similar inputs may produce similar or different outputs.
- AI-generated material may not be unique or suitable for every business situation.
Customers are responsible for reviewing and approving AI-generated content before relying on it or using it in communications with third parties.
Where Intentarray provides suggested outreach messages, such content is offered as drafting assistance. Providing a draft does not itself constitute delivery of a message or authorization to contact a particular individual.
Intentarray does not guarantee that using AI-generated recommendations will result in successful sales, customer engagement, commercial agreements, or other business outcomes.
We may use third-party AI processing services to provide relevant functionality, subject to applicable data protection obligations and our Privacy Policy.
Nothing in this section excludes responsibilities that Intentarray cannot lawfully disclaim.
8. Customer Information and Responsibilities
Customers may provide information, documents, business descriptions, professional contacts, preferences, and other materials in connection with their use of the Services ("Customer Content").
As between the customer and Intentarray, the customer retains its rights in Customer Content, subject to any rights belonging to third parties.
By providing Customer Content, you grant Intentarray a limited, non-exclusive right to host, process, store, transmit, reproduce, and otherwise use that content as reasonably necessary to:
- Deliver the requested Services.
- Operate and maintain authorized account functionality.
- Provide customer support.
- Maintain security and prevent misuse.
- Comply with applicable legal obligations.
This permission does not transfer ownership of Customer Content to Intentarray.
You represent that you have the necessary rights or other lawful grounds to provide Customer Content and authorize its processing for the intended purposes.
You must not upload information that you are prohibited from disclosing or processing.
Where Customer Content contains personal information, its processing is subject to applicable data protection laws, our Privacy Policy, and any relevant data processing agreement.
Intentarray's independently collected or maintained business intelligence may be subject to separate rights and legal responsibilities. Customer ownership of submitted content does not automatically extend to the entire platform or independently obtained information.
We may remove or restrict Customer Content where required by law or reasonably necessary to address a violation of these Terms, with notice where appropriate and legally permitted.
9. Privacy and Data Protection
Your use of the Services is subject to our Privacy Policy, available at:
https://intentarray.com/legal/privacy
The Privacy Policy describes how Intentarray collects, uses, discloses, retains, and otherwise processes personal information.
Depending on the processing activity and applicable law, Intentarray may act as an independent data controller or as a processor acting on behalf of a customer.
Where a data processing agreement is required for particular customer-provided personal information, the relevant agreement may supplement these Terms.
Customers must comply with applicable data protection requirements when providing personal information to Intentarray or using personal information obtained through the Services.
Each party remains responsible for the obligations imposed on it by applicable law. These Terms do not transfer or eliminate statutory responsibilities that cannot lawfully be assigned or excluded.
Privacy-related inquiries and requests may be directed to [email protected].
10. Free Access, Trials, and Usage Limits
Intentarray may offer free access, promotional access, trial periods, or limited-feature plans.
The availability, duration, usage allowances, and conditions of such access will be determined by the offer presented when access is granted.
Free or trial access may be subject to limits concerning usage, available information, processing volume, functionality, or other service resources.
Unless expressly disclosed and accepted as part of a paid subscription arrangement, a free account or trial does not automatically create an obligation to purchase a paid plan.
Intentarray may modify or discontinue free offerings, subject to applicable law and any commitments expressly made at the time access is granted.
We may apply reasonable technical restrictions to prevent abuse, protect service reliability, and manage usage.
Creating multiple accounts or using technical workarounds to evade applicable limits is prohibited.
11. Subscriptions, Payments, and Billing
Where paid subscriptions, usage-based purchases, or other paid services are offered, the applicable price, billing frequency, included usage, and material conditions will be disclosed before purchase.
By selecting and confirming a paid offering, you agree to pay the applicable charges disclosed at the time of purchase.
Payment processing may be performed through third-party payment service providers.
You agree to provide accurate billing information and authorize the processing of payments in accordance with the purchase terms you accept.
Where recurring subscriptions are offered:
- The billing frequency and renewal conditions will be disclosed before purchase.
- Recurring charges will apply only where you have authorized such billing.
- You may cancel future renewals using the cancellation method made available for the subscription.
- Unless otherwise stated in the applicable offer, cancellation will prevent future renewal charges while access continues through the already-paid subscription period.
- Any applicable taxes, fees, or other charges will be disclosed or calculated in accordance with applicable law.
Fees paid for an active subscription period are generally non-refundable solely because the customer does not use the Services or uses fewer resources than the plan permits, except where applicable law, the purchase terms, or an express refund arrangement provides otherwise.
Refunds may be available for duplicate charges, billing errors, failure to provide paid services, or other circumstances where required by applicable law or expressly agreed.
If Intentarray discontinues a prepaid service before the end of its committed period, we will address any resulting refund, credit, or other entitlement in accordance with the applicable purchase terms and law.
Any material change to recurring subscription pricing will be communicated as required by applicable law and will not be applied retroactively to charges already paid.
Nothing in this section limits statutory consumer or payment rights that cannot lawfully be excluded.
12. Third-Party Websites, Services, and Integrations
Intentarray may use, reference, or interact with third-party websites, information providers, professional platforms, software services, and integrations.
These third parties operate independently and may maintain their own terms, policies, and technical requirements.
Unless expressly stated otherwise, Intentarray is not affiliated with, sponsored by, or endorsed by any third-party platform referenced in the Services.
Where you independently use third-party platforms, you remain responsible for complying with the terms and legal obligations applicable to your use of those platforms.
If you authorize an external integration, you permit the relevant information exchanges necessary for the functionality you enable, subject to applicable permissions and data protection requirements.
Third-party services may change their functionality, availability, access conditions, or technical interfaces.
Such changes may affect corresponding features of Intentarray.
We may modify, replace, suspend, or discontinue affected integrations where reasonably necessary.
Intentarray is not responsible for independent actions or decisions of third-party platforms, including restrictions imposed on accounts that customers maintain directly with those platforms, except to the extent responsibility arises from Intentarray's own conduct or applicable law.
13. Intellectual Property
The Intentarray platform, including its software, website design, branding, text, proprietary technology, interfaces, and other original materials, is owned by Intentarray or its applicable licensors and is protected by relevant intellectual property laws.
These Terms do not grant ownership of, or any rights in, Intentarray's trademarks, proprietary systems, source code, or underlying technology except for the limited access rights expressly provided.
You may not use Intentarray's name, logos, or branding in a way that suggests endorsement, affiliation, or authorization without permission.
Customer Content remains subject to Section 8.
Third-party information, trademarks, and materials remain subject to any applicable rights of their respective owners.
If you provide suggestions or feedback about improving Intentarray, we may use that feedback to develop and improve the Services without an obligation to compensate you, provided we do not thereby obtain ownership of your confidential information or other protected materials.
14. Confidentiality
In connection with the Services, either party may receive non-public business, technical, commercial, or other information that is confidential by its nature or circumstances of disclosure ("Confidential Information").
Each party agrees to use the other party's Confidential Information only for purposes connected with the Services or an applicable agreement, and to take reasonable measures to prevent unauthorized disclosure.
Confidential Information does not include information that:
- Is or becomes publicly available without a breach of confidentiality.
- Was lawfully known to the receiving party before disclosure.
- Is independently developed without using the other party's Confidential Information.
- Is lawfully received from another source without a confidentiality obligation.
Disclosure may be made to personnel, advisers, or service providers who reasonably need access for permitted purposes and are subject to appropriate confidentiality obligations.
A party may disclose Confidential Information where required by applicable law or a valid legal process, subject to applicable restrictions.
This section does not restrict lawful processing and disclosure of independently obtained professional information as described in the Privacy Policy.
15. Service Availability and Changes
We aim to maintain reliable and functional Services but do not guarantee uninterrupted or error-free availability.
Access may occasionally be affected by:
- Planned maintenance.
- Technical failures.
- Security incidents.
- Network or infrastructure disruptions.
- Third-party service availability.
- Events outside our reasonable control.
We may temporarily restrict access where reasonably necessary to protect the platform, users, or information.
We may also modify or improve the Services over time.
For changes that materially and adversely affect a paid subscription, applicable contractual commitments, notice requirements, and statutory rights will continue to apply.
Unless expressly agreed in a separate service-level agreement, no specific uptime percentage or service-credit commitment is provided under these Terms.
16. Suspension, Cancellation, and Termination
A. Termination by You
You may stop using the Services at any time.
Where account deletion or subscription cancellation functionality is available, you may use the relevant account settings or contact Intentarray for assistance.
Cancellation of a paid subscription and deletion of an account are separate actions and may have different consequences.
Any outstanding payment obligations remain subject to the applicable subscription terms and law.
B. Suspension or Termination by Intentarray
We may suspend, restrict, or terminate access where reasonably necessary, including where:
- You materially violate these Terms.
- An account is used for fraudulent, abusive, or unlawful activity.
- Unauthorized access or a significant security risk is identified.
- Applicable charges remain unpaid following any required notice or opportunity to resolve the issue.
- Continued service would violate applicable law or a binding legal requirement.
- Continued operation becomes impracticable because of material circumstances outside our reasonable control.
Where appropriate, we may provide notice and a reasonable opportunity to correct a violation before terminating access.
Immediate action may be taken where necessary to address security threats, unlawful activity, or serious misuse.
C. Effect of Termination
Upon termination, the right to access and use the affected Services ends.
Access to account information, saved content, or associated functionality may become unavailable.
Account and workspace information will be handled in accordance with the Privacy Policy, applicable deletion procedures, contractual obligations, and relevant legal requirements.
Termination does not automatically require deletion of all independently maintained business intelligence or information lawfully retained for other purposes.
Provisions concerning ownership, confidentiality, payment obligations, limitations of liability, dispute resolution, and other provisions that by their nature should survive termination will continue to apply.
17. Disclaimers
To the maximum extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis, except for obligations expressly undertaken in these Terms or a separate written agreement.
Intentarray does not warrant that:
- The Services will operate without interruption or error.
- Every item of business or professional information will be accurate, complete, or current.
- AI-generated analyses or recommendations will be free from mistakes.
- Any particular business opportunity will result in a successful commercial transaction.
- The Services will satisfy every customer's specific commercial requirements.
- Third-party information sources or integrations will remain continuously available.
Intentarray does not provide legal, financial, investment, or other regulated professional advice through its sales intelligence features.
Customers are responsible for evaluating information and determining whether their intended use is appropriate and lawful.
Nothing in these Terms excludes any warranty, representation, obligation, or remedy that cannot lawfully be excluded.
18. Limitation of Liability
To the maximum extent permitted by applicable law, Intentarray will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising out of or relating to use of the Services, including lost profits, lost business opportunities, loss of goodwill, or business interruption.
This exclusion applies regardless of the legal theory asserted, except where such exclusion is prohibited by law.
To the maximum extent permitted by applicable law, Intentarray's total aggregate liability arising out of or relating to these Terms or the Services shall not exceed the greater of:
- US$100; or
- The total fees actually paid by the customer to Intentarray for the Services during the twelve (12) months preceding the event giving rise to the claim.
These limitations apply to the extent legally enforceable and do not exclude or restrict liability for fraud, willful misconduct, or any other liability that cannot lawfully be limited.
Nothing in these Terms removes rights or remedies that are mandatory under applicable law.
19. Indemnification
To the extent permitted by applicable law, if you use the Services on behalf of a business or organization, that business or organization agrees to defend, indemnify, and hold harmless Intentarray and its operator, personnel, and authorized representatives against third-party claims, losses, liabilities, damages, and reasonable legal expenses arising from:
- Your unlawful use of the Services.
- Your material violation of these Terms.
- Customer Content submitted without the necessary rights or lawful authorization.
- Your independent outreach, marketing, or communications activities conducted in violation of applicable law.
- Your infringement of third-party intellectual property, privacy, or other legally protected rights.
This obligation applies only to the extent a claim is attributable to your conduct or breach and does not extend to claims arising from Intentarray's own unlawful actions, unauthorized processing, or other liability for which Intentarray is legally responsible.
Intentarray will provide reasonable notice of a claim for which indemnification is sought and allow appropriate participation in its defense, subject to applicable law.
20. Changes to These Terms
We may revise these Terms to reflect changes in the Services, business operations, applicable law, or other legitimate requirements.
The revised Terms will display an updated revision date.
Where legally required, or where changes materially affect existing contractual rights, we will provide appropriate notice and obtain any required agreement.
Changes will not retroactively alter fees already paid or rights that cannot lawfully be modified without consent.
Continued use of the Services after valid notice and the effective date of revised Terms may constitute acceptance where permitted by applicable law.
If you do not agree to revised Terms, you should discontinue use of the affected Services and may exercise any applicable cancellation rights.
21. Governing Law and Dispute Resolution
These Terms are governed by the laws of India, without prejudice to mandatory legal protections that may apply to individuals or organizations in other jurisdictions.
If a dispute arises concerning these Terms or the Services, the parties should first attempt to resolve it in good faith through direct communication.
Disputes that cannot be resolved informally may be submitted to courts of competent jurisdiction in India, subject to applicable law and any mandatory jurisdictional rights.
Nothing in this section prevents either party from seeking urgent protective relief where legally available or restricts access to statutory authorities or remedies that cannot lawfully be excluded.
22. General Provisions
Entire Agreement: These Terms, together with the Privacy Policy and any applicable supplementary written agreements or accepted purchase terms, constitute the agreement governing use of the Services, subject to the order of precedence stated in Section 1.
Severability: If any provision is held invalid or unenforceable, the remaining provisions will continue to apply to the extent legally permitted.
No Waiver: Failure to enforce a provision does not constitute a waiver of the right to enforce it later.
Assignment: You may not transfer your rights or obligations under these Terms without prior written consent, except where applicable law provides otherwise. Intentarray may transfer its rights and obligations as part of a legitimate business transaction, subject to applicable law and the protection of existing contractual rights.
Independent Relationship: These Terms do not establish a partnership, joint venture, employment relationship, or agency relationship between you and Intentarray.
Force Majeure: Neither party is responsible for delays or failures caused by circumstances beyond its reasonable control, except for obligations that cannot lawfully be excused. This does not excuse payment obligations already due or override mandatory statutory remedies.
Notices: Notices relating to the Services may be delivered electronically through the website, registered account communications, or other contact methods reasonably associated with the relevant account, subject to applicable law.
